1. Agreement to Terms

By accessing or using sqaas.io (the "Site"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you may not use the Site.

The Site is operated by Squad as a Service SL ("Company", "we", "us", or "our"), a company registered in Spain.

2. The Site and Our Services

The Site presents our company, our work, and our services, and lets you contact us. Nothing on the Site is a binding offer, and you cannot buy a service through it.

Our services, including Service as a Software and the Chief AI Officer subscription, are provided under a separate written agreement. Our products, such as Hilo, are provided under their own terms. If there is a conflict, that agreement or those terms prevail over these Terms.

3. Eligibility

To use the Site, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Site under the laws of your jurisdiction
• Comply with all applicable local, national, and international laws and regulations

4. Acceptable Use

You agree not to use the Site to:

• Violate any applicable laws, regulations, or third-party rights
• Send spam, unsolicited messages, or engage in phishing or social engineering
• Send illegal, defamatory, or harmful content through our forms
• Attempt to gain unauthorized access to our systems, networks, or other users' data
• Circumvent or disable any security features or access controls
• Overload, disrupt, or interfere with the Site or its infrastructure
• Infringe on any intellectual property rights

5. Intellectual Property

The Site, including its design, code, text, graphics, and trademarks, is owned by Squad as a Service SL or its licensors and is protected by applicable intellectual property laws. You may view it and share links to it, but you may not copy or reuse its content without our prior written permission.

Client names and logos, and any third-party names and marks, belong to their respective owners.

6. Examples and AI-Generated Content

Examples, animations, and sample data on the Site are illustrative. They explain the kind of work we do and are not a promise of a specific result for your company.

Artificial intelligence can produce responses that are inaccurate, incomplete, misleading, or inappropriate. Nothing on the Site constitutes professional advice (legal, medical, financial, or otherwise).

7. Availability and External Links

We strive to keep the Site available, but we do not guarantee uninterrupted, error-free, or continuous access. The Site is provided on an "as-is" and "as-available" basis, and we may change, suspend, or discontinue any part of it at any time.

The Site links to websites that we do not control, including those of clients. We are not responsible for their content or practices.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Squad as a Service SL and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses, arising from or related to your use of the Site.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct, or any mandatory consumer protection rights under EU law.

9. Indemnification

You agree to indemnify and hold harmless Squad as a Service SL and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your violation of these Terms, of any applicable law, or of third-party rights. This does not limit your mandatory rights as a consumer.

10. Changes to Terms

We may modify these Terms at any time and will publish the new version on this page. The "Last updated" date at the top indicates when they were last revised. Your continued use of the Site after that date constitutes your acceptance of the modified Terms.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or in connection with these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.

If you are a consumer resident in the European Union, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence, and you may also bring proceedings in the courts of that country.
